Terms of Service

1. Acceptance of Terms

By accessing or using OneCLI (including the oc command-line tool, cloud dashboard, documentation, and APIs) you agree to be bound by these Terms of Service. If you are using OneCLI on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Service Description

OneCLI provides a CLI binary (oc), a cloud dashboard, documentation, and APIs that connect AI agents to external services via plugins. The open-source CLI is distributed under its own license, which governs your use of the source code independently of these terms.

3. Accounts

Certain features require an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to:

• Use OneCLI for any unlawful purpose.
• Attempt to circumvent access controls or security measures.
• Disrupt, degrade, or interfere with the service or its infrastructure.
• Reverse-engineer, decompile, or disassemble the cloud platform (the open-source CLI is exempt).
• Violate the terms of any third-party service you access through OneCLI plugins.

5. Third-Party Services

OneCLI connects to third-party services through plugins. You are responsible for complying with each third-party service's terms and policies. We are not liable for the availability, accuracy, or conduct of any third-party service. Credentials for third-party services are stored locally on your machine.

6. Intellectual Property

The OneCLI cloud platform, branding, and documentation are owned by ChartDB, Inc. The CLI binary is open-source and governed by its own license. Your data remains yours, and we claim no ownership over content you create, store, or transmit through OneCLI.

7. Payment Terms

Paid features are billed in advance on a recurring basis. You may cancel at any time, and your access continues until the end of the current billing period. We will provide at least 30 days' notice before any price changes take effect.

8. Service Availability

We strive to keep OneCLI available and reliable, but we do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features with reasonable notice.

9. Limitation of Liability

To the maximum extent permitted by law, ChartDB, Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of OneCLI. Our total liability is limited to the greater of the fees you paid in the 12 months preceding the claim or $100.

10. Indemnification

You agree to indemnify and hold harmless ChartDB, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of OneCLI or violation of these terms.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these terms. Sections on intellectual property, limitation of liability, indemnification, and governing law survive termination.

12. General

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Delaware. If any provision is found unenforceable, the remaining provisions continue in full force. These terms constitute the entire agreement between you and ChartDB, Inc. regarding OneCLI.
